Elon Musk, the chief executive of Tesla, suffered a stunning rebuke Tuesday when a Delaware judge voided the pay package that helped make him a billionaire many times over and the world’s wealthiest human being. In a decision that cast a harsh light on the behavior of Mr. Musk and Tesla’s board of directors, Chancellor Kathaleen St. J. McCormick of the Delaware Court of Chancery said the chief executive had effectively overseen his own compensation plan with the help of compliant board members. “The process leading to the approval of Musk’s compensation plan was deeply flawed,” the judge said. She ordered that the contract that gave Mr. Musk “the largest potential compensation plan in the history of public markets” be voided, and told parties in the case to work out how Mr. Musk would return excess pay. Some compensation experts said the decision would send a warning to other companies that awarded their top executives very large pay packages.

The filing Thursday in San Francisco federal court seeks a judge’s order requiring Musk to testify, alleging “blatant refusal to comply” with an earlier SEC subpoena. Musk testified twice as part of the SEC’s investigation in July 2022, according to the agency. The SEC served Musk with a subpoena to testify again in the matter in May 2023, according to the court filing. The current subpoena at issue seeks evidence and testimony from Musk that the SEC does not yet possess, the agency said. The SEC attempted to negotiate with Musk to find alternative dates later this fall, according to court documents.

Two current Twitter employees told CNN on Thursday that they plan to reject the ultimatum, citing a toxic work environment they say the billionaire has introduced. Musk told employees his goal is to build “Twitter 2.0” and that employees who choose to stay will be required to commit to working “long hours at high intensity” and presumably agreeing to Musk’s demand for Twitter employees, who have been largely working remotely, to return to in-office work. Another Twitter employee, who asked not to be quoted, shared similar concerns and said they planned to also exit the company. “People can’t overlook the public mockery and firing of other employees,” the former employee told CNN. Employees working in the United States from other countries could also risk losing their work visas if they leave the company.
